  • MAS does not charge fees for its services, but we do ask organizations that are financially able to do so to consider giving MAS a donation at the completion of a project. Donations are contributions toward MAS operating expenses.

TERMS AND CONDITIONS FORMING PART OF REQUEST
FOR MANAGEMENT ADVISORY SERVICES (MAS)

  1. MAS has sought out and received interest from a number of volunteer consultants who are willing, without charge, to assist not for profit organizations seeking consulting/advisory assistance in various areas (the “Organization”). By completing the Request for Consulting Services to which these Terms and Conditions are attached, the Organization agrees that is has a project (“Project”) in mind for which it is seeking assistance and that the information it is providing to MAS of its requirements will form the basis of an assessment by MAS as to which of the volunteer consultants may best be suited to assist the Organization.
  2. A volunteer consultant selected by MAS will be referred to the Organization. Once the volunteer consultant and a representative of the Organization have met, they will agree on the work to be done which will be reduced to writing (“Project Definition”). The volunteer consultant and the Organization will enter into whatever arrangements they may agree to for the provision of consulting/advisory services in respect of the Project Definition. However, volunteer consultants who may be referred to the Organization have agreed that following principles will apply for any resulting engagement they agree to undertake, to which conditions the organization agrees:
    1. the volunteer consultant will render consulting/ advisory services relevant to the Project with a view to assisting the Organization in finding solutions to problems encountered by it as described in the Project Definition;
    2. the volunteer consultant services will be performed on a non-exclusive basis at such places and at such times as are reasonably convenient to the Organization and volunteer consultant;
    3. the decision to accept advice given by volunteer consultants shall be solely that of the Organization;
    4. no fee will be charged to the Organization by the volunteer consultant for the consulting/advisory services in respect of the Project but is expected that the Organization will be responsible for payment of all out-of-pocket expenses incurred by a volunteer consultant in connection with the Project, upon presentation to the Organization of an account for such expenses as may be agreed to be reimbursed by the Organization to the volunteer consultant. Examples included mileage, parking, TTC etc;
    5. the volunteer consultant will not, without the prior written consent of the Organization, disclose or appropriate to his or her own use or to the use of any third party, any secret or confidential or private information about the Organization, or which is the property of the Organization, of which a volunteer consultant becomes aware as a result of the provision of the consulting/advisory services;
    6. the Organization shall provide all necessary assistance to any volunteer consultant throughout the Project, including necessary staff to assist in briefing, liaison, access to requisite information and data, office facilities and supplies.
  3. The Organization will provide a brief report to MAS at the completion of the project in the format that MAS will provide.
  4. A volunteer consultant will commence providing services when mutually agreeable. Such services shall be terminated by the volunteer consultant or the Organization on seven (7) days notice to the other.
  5. MAS does not charge a fee for its referral service, for any of the work performed by the volunteer consultant. While MAS makes reasonable efforts to select volunteer consultants to refer to the Organization so that the latter receives the consulting/advisory services it is looking for, MAS is not responsible for the consulting/advisory services given by any volunteer consultant. MAS will not be liable for any loss or damage incurred by the Organization or third parties affected by or involved in the Project as a result of the consulting/advisory services provided by the volunteer consultant referred to the Organization by MAS. In the event a third party makes any such claim against MAS, the Organization agrees to indemnify and save MAS harmless from such claims.
  6. It is the responsibility of the Organization to satisfy itself as to the qualifications, capability and personal conduct of the volunteer consultant referred to it and his or her ability to adequately fulfill the requirements of the Organization. The Organization should implement appropriate risk management procedures for its own protection.
  7. In the event MAS or the Organization wishes to or is required to give notice to the other, such notice will be sufficient if in writing and sent by facsimile, email, or by registered or certified mail, postage prepaid, at the address of MAS or the Organization set out in the request to which these Terms and Conditions are attached, or to such other address as either may specify by notice from time to time, to the other.
  8. Your signature indicates that you agree with the above statements and understand that this project is subject to the Terms & Conditions of this agreement for Projects submitted by your organization to Management of Advisory Service [MAS] and that the Volunteer Consultant will not be liable for any loss or damage incurred by the Organization or third parties affected by or involved in the Project as a result of the consulting/advisory services provided by the volunteer consultant referred to the Organization by MAS. In the event a third party makes any such claim against the Volunteer Consultant, the Organization agrees to indemnify and save the Volunteer Consultant harmless from such claims.
  9. These Terms and Conditions will also apply to any new Project and Project Definition MAS and the Organization may agree to in the future.
